1. Agreement to Terms

By accessing or using Vindey CRM ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Use License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your business purposes. This license is available only to and for the use of the person or entity that originally subscribed to use the Service.

2.1 Restrictions

You agree not to:

• Modify or copy the materials outside of normal Service usage
• Use the materials for any commercial purpose not authorized by us
• Attempt to decompile or reverse engineer any software contained in the Service
• Remove any copyright or other proprietary notations
• Transfer the materials to another person or "mirror" the materials on any other server

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

4. Subscription and Payments

Some aspects of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Payment must be made using the methods we support, and you authorize us to charge your chosen payment method.

4.1 Free Trial

We may offer a free trial of our Service. Additional terms of the free trial will be presented to you at sign-up. We reserve the right to modify or terminate free trials at our sole discretion.

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Vindey CRM and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries.

6. User Content

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, or other material ("User Content"). You retain all rights in, and are solely responsible for, the User Content you post to the Service.

By posting User Content, you grant us the right to use, modify, publicly perform, publicly display, reproduce, and distribute such User Content on and through the Service.

7. Limitation of Liability

In no event shall Vindey CRM, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use or alteration of your transmissions or content

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
